  • Part B: Merchant terms (Bronty connect)

The short version

  • Bronty lets you find and buy physical products from independent merchants by talking to an AI assistant, wherever you are.
  • Bronty is not the seller. Each product is sold to you by the merchant named against it. That merchant issues your tax invoice.
  • Your payment is processed by our payment provider and settles directly to the merchants. Bronty never holds your money and never sees your card number or banking login.
  • You can buy from several merchants in one cart and pay once. Each merchant's part of the order has its own delivery fee, and the total shows them all. Each merchant, itself or through its logistics provider (which may be a Bronty related company), packs and dispatches its part of your order. We coordinate delivery options and support.
  • Orders ship from Australia. If you are outside Australia, your order is an import: customs duties and taxes may apply, and we tell you what they are before you pay wherever we can calculate them.
  • Bronty is an independent app. It is not made, endorsed or operated by any AI provider.
  • The consumer protection laws of the country you live in apply, and nothing here reduces them.
  • For merchants. Businesses that connect a Shopify store to Bronty through our Bronty connect app also agree to Part B. It covers connecting the store, which products are shared with connected channels, orders, AI enrichment, fees and ending the arrangement.

This summary is here to help. The numbered terms below are the ones that apply.

These Terms of Use are an agreement between you and Bronty AI Pty Ltd (ACN 702 754 998, ABN 77 702 754 998) of Unit 1A, 35-39 Bourke Road, Alexandria NSW 2015 ("Bronty", "we", "us", "our").

They apply whenever you use the Bronty service, however you reach it: the Bronty app inside AI assistants, or any other app or surface we operate. Our website, bronty.ai, gives information about Bronty and publishes these terms and our Privacy Policy. You cannot buy products there. You are not asked to sign anything. By using Bronty you accept these terms. If you do not accept them, please do not use Bronty.

These terms have two parts. Part A (sections 1 to 21) applies to shoppers: anyone who uses Bronty to find and buy products. Part B applies to merchants: businesses that connect a Shopify store to Bronty using our Bronty connect app. A merchant agrees to Part B, and to the sections of Part A that Part B refers to.

Part A: Shopper terms

Part A applies to everyone who uses Bronty to find and buy products.

1. What Bronty is

Bronty is a conversational commerce service. You describe what you want in plain language inside an AI assistant. Bronty searches the live catalogues of independent merchants, returns matching products with real prices, real stock and a real delivery promise, assembles a single cart that can span several merchants, and helps you complete the purchase and track the delivery.

What Bronty provides is the software layer, the ordering and checkout experience, the coordination of delivery options, and customer support for your order. Each merchant, itself or through its logistics provider (which may be a Bronty related company), packs and dispatches the order created in its store. Merchants and stock are currently located in Australia, and every order ships from there.

What Bronty is not. Bronty does not own the products, does not take title to them, and does not sell them to you. The seller is the merchant named against each product. Bronty does not hold or handle your funds at any point.

2. Who can use Bronty

  • Where. Bronty is available worldwide, wherever the AI assistant or other surface you are using is available. We ship internationally from Australia. A small number of destinations are excluded because of sanctions, export controls, carrier coverage or local import restrictions; if yours is one, we tell you before you build a cart rather than after you pay.
  • What we can send you. Not every product can go to every country. Some items are restricted or prohibited on import, or cannot travel by air. We check your destination during checkout and remove or flag anything we cannot lawfully send.
  • Age to use the service. You must be at least 13, and at least the minimum age set by the assistant or platform you are using in your country, which in some places is higher. If you are under 18, you may only use Bronty with the knowledge and permission of a parent or guardian. Bronty is not directed at children under 13 and we do not knowingly provide it to them.
  • Age to place an order. You must be 18 or over, or the age of majority where you live if that is higher, and have legal capacity to enter a contract.
  • Payment method. The bank account or card used must be yours, or you must be authorised by the account holder to use it.
  • Accurate information. The delivery address and contact details you give must be accurate and current. International deliveries fail more often on incomplete addresses, so please check them.
  • Sanctions and export control. You confirm you are not on a sanctions list, and not ordering on behalf of or for delivery to a person or place subject to sanctions or export controls that would make the supply unlawful. We may cancel an order if we find otherwise.

3. Using Bronty in AI assistants

Bronty is available as an app inside AI assistants and may become available inside other assistants, embedded widgets, browser extensions, voice surfaces and partner integrations over time. These terms apply to all of them. Where a surface is operated by someone else, that operator's own terms apply to the surface, and these terms apply to Bronty.

  • Independence. Bronty is an independent third-party app. It is not made by, endorsed by, sponsored by, affiliated with or operated by any AI provider.
  • Not a party. The AI provider is not a party to these terms, is not a party to your purchase contract with any merchant, and is not the seller.
  • Their terms also apply. Your use of the AI assistant itself is governed by its provider's own terms and privacy policy. Those govern the assistant. These terms govern Bronty.
  • What we receive. The assistant passes us only the information needed to answer your request: for example, the product you are looking for, and the delivery details and order confirmation you choose to provide. We do not receive your chat history, your conversation transcript, your saved memories or your AI-provider account profile. Section 15 and our Privacy Policy explain this fully.
  • Disconnecting. You can disconnect Bronty from your assistant at any time in the assistant's own settings. When you do, we immediately lose the ability to receive requests from it. Disconnecting does not by itself delete orders you have already placed; see the Privacy Policy for deletion.
  • Assistant output. The wording of the assistant's replies is generated by the AI provider's model, not by us. Product data, prices, stock and delivery promises come from us and our merchants.

4. Placing an order

  • Products shown to you are an invitation to treat. They are not an offer capable of acceptance.
  • When you approve a cart, you make a separate offer to buy from each merchant in that cart.
  • A separate contract of sale forms between you and each merchant at the moment we send you that merchant's order confirmation. If your cart contains items from three merchants, you enter three contracts of sale, plus these terms with us.
  • Before you pay, you will be shown the items, the merchant for each item, the itemised price, the delivery fee for each merchant, the total, the delivery address and the expected delivery window. Please check them.
  • We or a merchant may decline or cancel an order before dispatch if an item is out of stock, a price was obviously wrong, the address is outside our delivery area, we suspect fraud or unauthorised payment, the item is one we do not sell under section 11, or these terms have been breached. If this happens after payment has been authorised, the authorisation is released or the amount is refunded.

5. Prices, fees, taxes and duties

Prices and currency

  • Prices are set in Australian dollars. Where we show a price in another currency, it is a conversion for your convenience at the rate applying when it was shown, and the amount your bank or card issuer actually charges may differ slightly.
  • Delivery is charged per merchant: where an order spans several merchants, each merchant's part has its own delivery fee and the fees are added together. Each fee depends on the delivery option you choose and whether the address is in Australia, and is shown before you pay.
  • The total displayed when you approve your order is the amount we charge you for that order. Prices can change at other times without notice.
  • We do not apply a payment surcharge.
  • If a price is obviously wrong (for example, a decimal-point error), we may cancel the affected item and refund you rather than supply at that price. We will tell you before we do.

Australian GST

For delivery within Australia, prices include GST where GST applies. Goods exported from Australia are generally GST-free, so the price you pay for an international order should not include Australian GST; your invoice shows the treatment applied.

Import duties, taxes and clearance charges

  • An order delivered outside Australia is an import into your country. Customs duty, import VAT or GST, and carrier clearance or brokerage fees may apply on top of the goods and delivery price. These are set by your government and your carrier, not by us.
  • Where we can calculate the landed cost for your destination, we show duties and taxes in your total and pay them on your behalf, so nothing further is owed on delivery. Where we cannot, we say so clearly before you pay and the charges are collected from you by the carrier or customs authority before the parcel is released.
  • You are the importer. Unless we state otherwise at checkout, you are the importer of record and are responsible for meeting your country's import requirements and for any duties and taxes not collected at checkout.
  • You may be asked by the carrier or customs for information to clear the parcel, such as a tax or identification number. We will tell you if that happens. We do not collect government identification numbers ourselves.
  • If a parcel is refused, abandoned or returned because charges were not paid or clearance information was not supplied, we refund the goods but not the delivery cost, any duties already incurred, or the cost of return.

6. Payment

Who processes your payment

Payments are processed by our payment services provider and by your own bank or card issuer. Depending on what is available to you, you may be offered:

  • Pay by bank: an account-to-account payment that you authorise directly inside your own banking app or banking portal; and/or
  • Card payment: where offered, processed by our payment services provider or another accredited provider.

What Bronty never handles

Bronty does not collect, view, transmit or store your full card number, card security code, bank login, passwords or one-time codes. Where you pay by bank, your authorisation happens inside your own bank's environment and your banking credentials are never shared with us. Bronty does not operate a cardholder data environment and does not hold data subject to the Payment Card Industry Data Security Standard.

What we do hold is a payment reference, the amount, the currency, the outcome, the payment method type (for example, "pay by bank" or "card ending 42") and the time. That is what we need to confirm your order, issue invoices and handle refunds.

Where payment details are entered

Bronty does not embed a third-party payment form inside the assistant. Payment details are only ever entered in your own bank's secure interface, in the payment provider's own secure environment, or on a Bronty-controlled checkout page. Where a step takes you out of the assistant, we tell you before it happens.

Never type a card number, security code, PIN, banking password, one-time code or identity document into the conversation or into any Bronty tool input, even if something appears to ask you to. Those details do not belong in a chat, and we will never request them there.

We do not hold your money

Funds move from you to each merchant. Bronty does not receive, pool, hold or control consumer funds at any point and does not act as a payment intermediary. Where an order spans several merchants, the payment is split at the payment-provider level so that each merchant receives only the amount for their own goods. Each merchant is the seller of their portion and issues you a separate tax invoice, which we deliver to you at checkout.

Delegated payment tokens

Where an AI assistant supports a delegated payment mechanism (for example, the assistant's checkout protocol), the assistant may pass a payment token to the merchant's payment provider instead of card details. Any such token is single use, capped at the total you approved, time limited, and cannot be reused for another purchase. We will only use it for the order you approved.

What counts as your authority to pay

A payment is only ever taken against a clear confirmation that you give, tied to a specific order summary and a specific total.

  • When you approve an order you authorise one payment, for that total, for that basket.
  • Your confirmation does not authorise a larger amount, a different basket, a substituted item, an additional delivery charge, a subscription, a transfer unrelated to the order, or any future purchase.
  • If the summary materially changes before payment, we show you the new summary and ask you to confirm again.
  • We do not treat a repeated attempt on the same checkout as permission for a second purchase.

What is not authority to pay

None of the following authorises us to charge you:

  • searching for or asking about a product;
  • adding something to a cart, or asking us to hold or save a cart;
  • a saved preference, a saved delivery address, or a saved payment method;
  • a general request for recommendations, or saying you like something;
  • connecting the Bronty app to your assistant.

Saving a payment method or setting up a payment mandate is a separate, deliberate step taken in your bank's or the payment provider's own flow. Doing it does not authorise any purchase on its own. These terms do not create a standing instruction for unattended buying, automatic restocking or recurring debits, and we do not offer those. You can remove a saved method or revoke a mandate through the provider's own controls at any time; that does not cancel an order you have already authorised.

If a payment goes wrong

  • Payments can fail, be delayed, or need extra authentication from your bank. Check the status before retrying, so you do not pay twice. If the status is unclear, contact us and we will trace it.
  • If you think a payment was made without your authority, contact your bank or payment provider promptly, and tell us as well.
  • Pay by bank and card payments have different dispute processes. A bank transfer is not a card transaction and the chargeback rules that apply to cards do not apply to it in the same way.
  • Choosing to pay by bank does not give up any right you have: your consumer guarantees, your refund rights and your rights in relation to an unauthorised payment all continue to apply, and nothing in these terms asks you to waive a statutory remedy or an available payment dispute.
  • If a payment fails, is reversed or is disputed, the order will not be dispatched and may be cancelled.

7. Delivery

Within Australia

  • Delivery options. Within Australia you can choose 2 day delivery or delivery within 5 business days, subject to stock availability, the delivery address and carrier capacity. The option you choose and its delivery window are shown at checkout.

International

  • Orders ship from Australia, with delivery within 5 business days. The delivery window shown at checkout covers dispatch, transit and, where relevant, our estimate of customs clearance.
  • Customs clearance is outside our control and is the most common cause of delay. A parcel can be held for inspection, for documentation, or for payment of charges, and we cannot compel a customs authority to release it.
  • Some products cannot be sent to some countries, or cannot travel by air. Where that applies, we tell you during checkout rather than after you pay.
  • Every item is dispatched with an accurate description and value for the carrier and customs. We will not undervalue goods, mark a purchase as a gift, or misdescribe contents, whatever the reason for asking.

Applies to every order

  • One parcel where we can. Where items from several merchants are held in the same warehouse, they can be packed into a single parcel with one delivery. Some orders will arrive in more than one parcel. The delivery fees are the ones shown at checkout either way.
  • Estimates, not guarantees. Delivery windows are estimates based on the information available at the time. We will tell you if a delivery is materially delayed. Delays caused by weather, industrial action, carrier failure, customs processing or other events outside our reasonable control are not our responsibility, but your consumer rights under section 9 still apply.
  • Authority to leave. If you authorise the carrier to leave a parcel unattended, you accept the risk of loss or damage from the moment it is left there.
  • Risk and title. Risk in the goods passes to you on delivery to your address. Title passes to you on the later of delivery and the merchant receiving cleared payment.
  • Incorrect addresses. If a delivery fails because the address you gave was wrong or incomplete, we may charge the cost of redelivery. On an international order that cost can exceed the value of the goods, so please check the address carefully.

8. Cancelling, returns and refunds

  • Before dispatch. Contact us as soon as possible and we will cancel where the order has not yet been packed. Orders are packed quickly, so this window is short.
  • Change of mind. Each merchant sets its own change-of-mind policy. The applicable policy is shown at checkout and in your order confirmation. Merchants are not required by law to accept change-of-mind returns, and some categories (for example, perishable, hygiene or made-to-order items) are commonly excluded.
  • A right to cancel where the law gives you one. Some countries give consumers a statutory right to withdraw from a distance purchase within a set period, for example, 14 days in the EU and the UK. Where such a right applies to you, it applies in addition to anything above, on the terms your own law sets, and we will honour it.
  • Faulty, unsafe, not as described. Your consumer guarantee rights apply. See section 9.
  • One place to ask. Where a merchant has appointed us to handle returns on its behalf, you can raise everything with us, including for orders spanning several merchants, and we will coordinate with each merchant.
  • Returning from overseas. Send nothing back before contacting us: we will give you the correct return address and instructions, because a return that arrives unannounced or wrongly declared can be held or destroyed by Australian customs. For a faulty, unsafe or misdescribed item, or where your own law requires it, we pay the return cost. For a change-of-mind return we accept voluntarily, you pay it, and it can be substantial from some countries.
  • Duties and taxes on a refund. Where we collected duties and taxes at checkout and the order is returned or cancelled, we refund them with the goods. Where they were collected from you by your carrier or customs authority, we cannot refund them; most countries have a process for reclaiming import charges on returned goods, and we will give you the documentation you need to make that claim.
  • How refunds are paid. Refunds are made to the original payment method, in the currency charged. Pay-by-bank refunds are returned to the account you paid from, and card refunds to the card, as soon as practicable after approval, and in any case within the time the law requires. Card refunds can take longer to appear, depending on your bank. Where a refund is converted back into your own currency, exchange-rate movement between the payment and the refund is set by your bank and is outside our control.
  • Who refunds you. A refund for goods is made by or on behalf of the merchant who sold them. A refund of a delivery fee is made by the merchant whose part of the order it was charged for, or by us on its behalf.

9. Your consumer rights

Wherever you live, the mandatory consumer protection law of your country of residence applies to your purchase, and nothing in these terms excludes, restricts or modifies a right or remedy you have under it. That includes any statutory guarantee of quality, fitness or conformity, any right to repair, replacement or refund, any right to cancel a distance purchase within a cooling-off period, and any right to complain to a regulator or an alternative dispute resolution body.

Because the goods are supplied from Australia, Australian consumer guarantees may also apply. Where they do:

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

Goods purchased through Bronty come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Where your own law and Australian law both give you a remedy for the same problem, you may rely on whichever is more favourable to you. You do not have to work out which applies before contacting us: tell us the problem and we will sort it out.

10. Product information and AI-generated content

  • Merchant-supplied data. Product titles, descriptions, images, ingredients, specifications, warnings and prices are supplied by the merchant. We take reasonable steps to keep this data current and accurate, but we do not warrant that it is complete, accurate or up to date at every moment.
  • AI responses can be wrong. The assistant's replies, including summaries, comparisons, recommendations and suitability statements, are generated by an AI model. They can be incomplete, out of date or incorrect.
  • Check before you rely on it. Always check the merchant's own product information and the physical product packaging before relying on anything for a decision that matters, such as allergens, ingredients, dosage, age suitability, compatibility, electrical ratings, or safety warnings.
  • Not advice. Nothing provided through Bronty is medical, health, nutritional, veterinary, financial or legal advice.
  • No paid placement. Bronty does not accept payment from merchants to rank a product higher in the results shown to you, and Bronty does not display advertising inside the assistant.

11. What we don't sell

Physical goods only. Bronty is used to buy physical goods that are delivered to you. We do not sell digital goods, digital content, downloads, subscriptions, memberships, tokens, credits, gift cards or services through the assistant.

We do not list, sell, promote or facilitate the sale of:

  • adult content, sexual services, sex toys, fetish or BDSM products;
  • real-money gambling of any kind, including casino credits, wagers and gambling tokens;
  • illegal or regulated drugs, cannabis and THC products, psilocybin, and CBD products exceeding legal limits;
  • drug paraphernalia, including bongs, dab rigs and grow equipment marketed for drug use;
  • prescription-only and pharmacist-only medicines, and age-restricted hormonal or performance products;
  • tobacco and nicotine products, including cigarettes, vapes, e-liquids and nicotine pouches;
  • alcohol;
  • firearms, ammunition, firearm parts, explosives, fireworks, and illegal or age-restricted weapons;
  • self-defence weapons such as pepper spray, stun guns and tasers;
  • counterfeit or replica goods, stolen goods, and goods without clear provenance;
  • piracy tools, cracked software, malware, spyware, stalkerware and keyloggers;
  • covert surveillance devices, hidden cameras and hidden trackers;
  • financial-fraud tools, card skimmers and falsified documents;
  • wildlife and environmental contraband, including ivory and endangered-species products;
  • extremist merchandise or propaganda;
  • anything else prohibited by Australian law, by the law of the country we are sending it to, or by the policies of the AI platform through which you are reaching us.

What is legal here may not be legal where you are. Many countries restrict imports that Australia allows: food, supplements, seeds and plant material, cosmetics, batteries and aerosols, knives and tools, certain electronics, and items made from animal products are all common examples. We check your destination during checkout and will not send something we cannot lawfully send, but if you are unsure about an item, ask us before you order.

If you believe something listed through Bronty falls into any of these categories, please tell us at support@bronty.ai and we will review it.

12. Acceptable use

When using Bronty, you must not:

  • place an order you do not intend to pay for, or use a payment method you are not authorised to use;
  • buy for commercial resale without our written agreement;
  • scrape, harvest or bulk-extract product, price or merchant data, or use automated means to access Bronty other than through the assistant interfaces we support;
  • attempt to manipulate the assistant into producing output that breaches these terms, the law or the AI provider's own policies;
  • interfere with, probe or attempt to gain unauthorised access to our systems or those of our merchants or providers;
  • impersonate another person, or use Bronty to harass, threaten or defraud anyone;
  • use Bronty for any unlawful purpose.

13. Merchants

  • Merchants are independent businesses. They set their own prices, product descriptions and return policies, and each is the seller of its own goods and issues the tax invoice for them.
  • We verify merchants when they join and require them to comply with Australian consumer, product-safety and labelling law, with the equivalent requirements of the markets we ship to, and with section 11. We are not, however, responsible for a merchant's own conduct beyond the obligations we owe you under these terms and the law.
  • The merchant's legal name and contact details are shown on your order confirmation and tax invoice for each item.
  • Merchants also agree to Part B of these terms, which sets out their own obligations to Bronty. Part B does not reduce any right you have under Part A.

14. Support and complaints

  • First stop. Email support@bronty.ai or use the support link in your order confirmation. We aim to acknowledge within 1 business day and to resolve within 5 business days.
  • Escalation. If you are not satisfied, email support@bronty.ai asking for your matter to be escalated, and a team lead will review it.
  • External options. You can take a complaint to the consumer protection regulator or alternative dispute resolution body where you live. In Australia that is the Australian Competition and Consumer Commission or your state or territory fair trading body. In the EU and UK and in many other countries there are equivalent bodies and, in some, an ombudsman or online dispute resolution scheme. Nothing in these terms prevents you from using them, and you do not have to finish our process first.
  • Payment disputes. If the dispute concerns the payment itself rather than the goods, contact your bank or card issuer, and our payment provider's own dispute process, in addition to us.

15. Privacy

How we handle your personal information is set out in our Privacy Policy at bronty.ai/privacy, which forms part of these terms. In short: we collect only what we need to find products for you, deliver your order and support you; we never receive your chat history or your AI-provider account profile; we never receive your card number or banking credentials; and we do not sell your personal information.

16. Intellectual property

  • The Bronty name, logo, software, interfaces and content are owned by us or licensed to us. We grant you a personal, non-exclusive, non-transferable, revocable licence to use Bronty for your own shopping.
  • Merchant brands, product names, images and descriptions belong to the merchants or their licensors.
  • Any feedback or suggestions you send us may be used without obligation or payment to you.

17. Suspension and ending your use

  • You can stop using Bronty at any time and disconnect the app from your assistant.
  • We may suspend or restrict your access, with notice where practicable, if we reasonably believe you have breached these terms, if there is suspected fraud or unauthorised payment use, or if we are required to do so by law or by an AI platform's policies.
  • Ending your use does not affect orders already placed, refunds owed to you, or any right that has already accrued to either of us.

18. Our liability

  • Nothing in this section limits or excludes your rights under the Australian Consumer Law, our liability for fraud, or our liability for death or personal injury caused by our negligence.
  • Subject to that, we are not liable to you for loss of profit, loss of opportunity, loss of data, or any indirect or consequential loss.
  • Subject to the first point, our total liability to you in connection with any one order is limited to the amount you paid for that order.
  • We are not responsible for the availability or behaviour of a third-party AI assistant, your device, your internet connection, or your bank.
  • You are responsible for loss we suffer because you used Bronty unlawfully or in breach of section 12, to the extent that loss was caused by you. You are not otherwise required to indemnify us.

19. Changes to these terms

  • We may change these terms, for example, to reflect new features, new delivery areas, or changes in law or platform policy.
  • The current version is always published at bronty.ai/terms with the date it took effect.
  • For material changes we will give notice before they take effect, in the assistant or by email where we have your address.
  • Your order is governed by the version of these terms in force when you placed it. A change never applies retrospectively to an order already placed.
  • If you do not accept a change, stop using Bronty and disconnect the app.

20. General

  • Governing law. These terms are governed by the laws of New South Wales, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of New South Wales. If you are a consumer, this choice does not deprive you of the protection of any mandatory law of the country where you live, and it does not stop you bringing proceedings, or a complaint to a consumer body, regulator or tribunal, in your own country.
  • Language. These terms are written in English. Where we provide a translation, it is for convenience and the English version governs if the two differ, except where your own law requires otherwise.
  • Severance. If any part of these terms is unenforceable, that part is severed and the rest continues.
  • Unfair contract terms. If any term would be an unfair contract term under the Australian Consumer Law or under the equivalent law where you live, it does not apply to you to the extent it would be unfair.
  • No waiver. If we do not enforce a right immediately, we do not give it up.
  • Assignment. We may assign or novate these terms to a related company or to a buyer of our business, provided your rights are not materially reduced. You may not assign your rights without our consent.
  • Entire agreement. These terms, the Privacy Policy and your order confirmation are the whole agreement between you and us about Bronty.
  • Force majeure. Neither party is liable for failure to perform caused by an event outside its reasonable control, except for an obligation to pay money.

Part B: Merchant terms (Bronty connect)

Part B applies to a business that connects its Shopify store to Bronty using our Shopify app, Bronty connect, and to the people it invites to use the Bronty workspace for it. In Part B, "you" means that business.

"Connected channels" means the services Bronty connects your synced catalogue to, so they can use your product data and send orders to your Shopify store.

Where Part B does not cover something, sections 11 (What we don't sell), 20 (General) and 21 (Contact us) of Part A apply. If Part A and Part B conflict on a matter between you and Bronty, Part B applies.

B1. Who can use Bronty connect

  • Bronty connect is for businesses established in Australia that sell through a Shopify store.
  • You apply to join, and we accept or decline each application. You can use Bronty connect only after we accept yours. Connected channels can use your products only after you finish onboarding, connect your store and we activate your account.
  • The person who accepts these terms confirms that they have authority to bind the business. You are responsible for the people you invite to your workspace and for what they do there.

B2. Connecting your store

  • You install Bronty connect from Shopify, then finish connecting your store in the Bronty workspace.
  • By installing it, you authorise Bronty to access your store with the permissions Shopify shows you at install: to read your products and inventory, to edit your products, to read the delivery and tracking details of orders, and to create orders in your store (Shopify's order permission also lets an app read and edit orders; Bronty uses it to create orders and to read the orders it created). Bronty uses the product permission only to update a product's title, description or the product details Bronty adds, and only when you approve that product in Bronty. Shopify updates are off unless you turn them on.
  • You can disconnect your store at any time in the workspace, and you can uninstall Bronty connect in Shopify. Section B9 explains what happens to your data after you uninstall.

B3. Your catalogue and connected channels

  • Your products and variants are shared with connected channels according to settings Bronty manages with you. You can ask us to stop sharing a product at any time, and we keep a record of each change.
  • You grant Bronty a non-exclusive, royalty-free licence to use, copy, display and adapt your product content (titles, descriptions, images, prices and stock levels) to offer and promote those products on connected channels while your store is connected. You confirm that you have the right to grant this licence.
  • Bronty reads only active products from your store. Images are shown from their Shopify links and are not copied.
  • We may restrict a product, or stop sharing it, if it breaks Part A section 11 (What we don't sell) or the law.

B4. Your responsibilities

  • Keep your product data and prices accurate and current in your store. Bronty passes your store's product data to connected channels.
  • Offer only products that are lawful and safe, and labelled as the law requires, in line with Part A section 11 and the Australian Consumer Law.
  • You are the seller of your products, and you issue the tax invoice to the shopper.
  • You are responsible for packing and dispatching the orders Bronty creates in your store, yourself or through your logistics provider (which may be a Bronty related company). Bronty coordinates delivery options and support for shoppers. You handle returns, refunds and warranty claims, and honour the consumer guarantees that apply to your products.
  • Keep a support email for shoppers current in the workspace. We show it to shoppers on their receipts.

B5. Orders

  • When an order for your products comes from a connected channel, Bronty creates it in your Shopify store with the tag "bronty". It includes the shopper's name, email address and shipping address. The shopper is also added as a customer in your store.
  • We never send you the shopper's phone number, billing address or payment details.
  • Your store reduces inventory under its own inventory settings. Shopify's own order and shipping emails to the shopper are turned off for these orders, because Bronty sends the shopper a receipt.
  • Bronty sets the delivery fee charged to shoppers.
  • You can also create an order in the workspace. Bronty creates it in your Shopify store straight away, as paid, with the products at your catalogue prices, the delivery name and price you enter, the tag "bronty" and any channel you enter as a second tag. Shopify sends your customer no email for it.
  • For orders you create in the workspace, you collect payment yourself and Bronty takes no payment. You are responsible for the order's details, and for having your customer's permission to give us their name, address and email address.
  • Record tracking details and any cancellation in Shopify. They flow back to Bronty and the connected channel.
  • Shopper payments on connected channels are not yet available to merchants. Before they start, we will tell you which provider processes them and agree settlement timing, payouts, refunds and payment disputes with you. As Part A section 6 says, payments will settle directly to merchants and Bronty will not hold shopper funds.

B6. AI enrichment and Shopify updates

  • AI enrichment is optional. It suggests product attributes, such as category, occasions, colours, materials and styles, so connected channels can match your products to what people ask for.
  • It runs only when you, or a Bronty operator, confirm a run in the workspace, after Bronty shows what will be sent. We keep a record of each confirmation.
  • By confirming a run, you consent to Bronty sending your listing text to OpenAI, in the United States, to extract product attributes. Listing text means the title, product type, vendor, tags, collection titles, options and description. We do not send images, prices or shopper data.
  • Under OpenAI's API terms, this data is not used to train OpenAI's models by default. OpenAI keeps it under its own API data policy.
  • Enrich title and Enrich description suggest new text for one product at a time, only when you press them. By pressing one, you consent to Bronty sending that product's title, description, vendor, product type, tags, options and product details to OpenAI, in the United States, to suggest new text. Each store has a daily limit on suggestions.
  • The results are suggestions. You can review and edit them in the workspace, and you remain responsible for the product information shared with connected channels.
  • Shopify updates are optional and off until you turn them on in the workspace. Bronty then updates a product in your store only when you approve that product, and only its title, description and the product details Bronty adds. Product details are saved in fields that belong to Bronty connect, shown in your Shopify admin and not on your storefront.
  • Suggested text can be wrong or incomplete. You are solely responsible for checking it, for each update you approve, including suggested text you accept, and for all product information in your store. Bronty is not responsible for suggested text or for updates you approve.
  • You can undo the update to any product in the workspace. When you turn off Shopify updates, you can restore your original titles and descriptions and remove the product details Bronty added. Anything you have changed in Shopify since Bronty's update stays as you have it.
  • A change you make in Shopify takes precedence and flows back to Bronty.
  • Separately, Bronty automatically runs a free, rules-based check on your store data. It does not use any AI provider.

B7. Fees

  • Bronty connect is free. If we introduce fees, they will be charged through Shopify's billing, and you will approve them in Shopify before they apply.

B8. Suspension and restriction

  • We may suspend your account, or restrict or stop sharing some or all of your products, if you breach these terms, if there is a risk to shoppers or to Bronty, or for legal reasons. While your account is suspended, your products are not shared with connected channels.
  • We will tell you why where we can.
  • Suspension does not cancel orders already placed. You must still pack and dispatch them.

B9. Data and privacy

  • Part B of our Privacy Policy at bronty.ai/privacy explains how we handle information about merchants and their staff, and the data we read from your store. It applies to you.
  • When you uninstall Bronty connect, our access to your store ends straight away. We delete the data we obtained through the app within 30 days. Shopify normally asks us to delete it about 2 days after you uninstall, and we then delete it sooner. If you reinstall within that time, the deletion is cancelled.
  • Titles and descriptions you approved stay in your store after you uninstall. Shopify removes the product details Bronty added, in its own time. To restore your original titles and descriptions, turn off Shopify updates before you uninstall.
  • We keep your merchant account, the record of which products were shared, and order records, including shopper contact details on orders, as our Privacy Policy describes.
  • If a shopper asks you, through Shopify, for a copy of their data or for it to be erased, Shopify tells us too. Contact privacy@bronty.ai and we will work with you on the request.

B10. Intellectual property

  • You keep ownership of your product content, brand and trade marks. Suggested text you accept becomes part of your product content. Section B3 sets out the licence you give us.
  • Bronty keeps ownership of its software, the Bronty name and brand, the workspace, and its enrichment tooling.

B11. Liability and indemnity

  • Nothing in Part B excludes or limits rights you have under the Australian Consumer Law that cannot be excluded.
  • To the extent the law allows, Bronty is not liable to you for indirect or consequential loss, and Bronty's total liability to you under Part B is limited to supplying the Bronty connect service again or paying the cost of having it supplied again.
  • You are responsible for claims that arise from your products or from the product information you provide or approve, and you will cover Bronty's reasonable costs of such claims.

B12. Changes and ending

  • We may change Part B. We will give you 30 days' notice of a material change, by email or in the workspace. If you do not accept a change, you can end Part B before it takes effect.
  • You can end Part B at any time by disconnecting your store in the workspace, by uninstalling Bronty connect, or by giving us written notice. We can end it by giving you 30 days' written notice.
  • Ending Part B does not affect orders already placed. You must still pack and dispatch them, and handle returns and refunds for them.
  • Clauses that by their nature should continue after Part B ends, continue. These include the clauses on data, liability and indemnity.
